End-User License Agreement

1. License grant

Subject to your compliance with this EULA and payment of the applicable subscription fee, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and run the Software for your own lawful market-research and trading use during your active subscription term. This is a license, not a sale; you acquire no ownership of the Software.

2. Seats & license keys

The license is granted per paid seat. Each seat entitles the named Licensee to use the Software on the number of devices permitted by your plan. Activation uses an offline, HMAC-signed license key issued to you. You are responsible for keeping your license key confidential. Sharing, publishing, reselling, or transferring your key or license to any other person is prohibited and is a material breach of this EULA.

3. Restrictions

You will not, and will not permit anyone else to:

• copy (except a single backup copy), distribute, resell, rent, lease, lend, host, or otherwise make the Software available to any third party;
• share your license key or use the Software beyond your licensed seats/devices;
• reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code or to defeat, circumvent, or tamper with the licensing, activation, or security mechanisms;
• modify, translate, or create derivative works of the Software, or extract, retrain on, or redistribute the bundled local models except as expressly permitted;
• remove or alter any copyright, trademark, or other proprietary notices; or
• use the Software in violation of applicable law or of any broker or data-provider terms.

4. Ownership & intellectual property

The Software, including all code, model weights we provide, user interface, documentation, and all related intellectual-property rights, is and remains the exclusive property of QuantSuite and its licensors. All rights not expressly granted to you are reserved. QuantSuite names, logos, and marks are our trademarks and may not be used without permission. You retain ownership of your own data, strategies, and configurations, which stay on your device.

5. Local models & updates

The Software includes on-device AI model files that run locally on your machine; your use of them is licensed under this EULA and subject to the same restrictions. We may make updates, patches, new model versions, or new features available from time to time. Updates are provided under this EULA unless accompanied by separate terms, and we may require an update for the Software to keep functioning correctly or securely. We are not obligated to provide any particular update or to maintain any specific feature or model.

6. Third-party & open-source components

The Software may include third-party or open-source components that are licensed under their own terms. Those terms govern your use of those components and, to the extent required, take precedence over this EULA for the applicable component. A list of such components and their licenses is available on request or within the application: in the docs/ folder of your installation, or on request.

7. Termination

This EULA is effective until terminated. It terminates automatically if you breach any of its terms, and it also ends when your subscription ends. On termination, your license is revoked and you must stop using and uninstall the Software and destroy any copies. Sections 3, 4, and 8–11 survive termination.

8. No warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE, ITS ANALYTICS, OR ITS AI OUTPUTS WILL BE ACCURATE, UNINTERRUPTED, ERROR-FREE, OR PROFITABLE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTSUITE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY UNDER THIS EULA WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE PRECEDING TWELVE (12) MONTHS. This section works together with the limitation of liability in the Terms of Service.

10. Export & compliance

You represent that you are not located in, and will not use or export the Software to, any country or party subject to applicable export controls or sanctions, and that you will comply with all applicable export and trade-control laws. You are responsible for using the Software in compliance with the laws of your jurisdiction.

11. General

This EULA, together with the Terms of Service, is the entire agreement between you and us regarding the Software. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. This EULA is governed by the laws of [jurisdiction]. You may not assign this EULA; we may assign it in connection with a corporate transaction.
